The terms and the one-PC licence.

1. Parties and Provider

NextBeacon is owned, developed, and operated by NextBeacon LLC, a Colorado limited liability company ("Company," "we," or "us").

You must be at least eighteen (18) years of age to purchase, install, or use NextBeacon. By purchasing, downloading, or using the software, you represent that you are 18 years of age or older.

2. Description of Service and Scope

NextBeacon is a locally hosted software tool designed to execute on your personal computer. The application retrieves publicly available job postings, evaluates them against user-provided profile data, generates draft resumes and cover letters, and transmits daily summary notifications via email.

NextBeacon integrates with your personal Claude account (provided by Anthropic, PBC) to execute artificial intelligence processing. NextBeacon is sold in two versions: NextBeacon (the "full version"), which performs the artificial intelligence processing described above, and NextBeacon Lite (the "Lite version"), which retrieves postings, matches them against your titles and profile by rules rather than artificial intelligence, and sends the daily summary, but does not produce fit scores, reasoning, résumés, cover letters, or application answers. A Lite purchase may be upgraded to the full version by paying the difference in price; the upgrade changes the licensed version and nothing else in this Agreement. NextBeacon does not submit job applications on your behalf. You retain sole discretion and responsibility for reviewing, verifying, and submitting any application materials to prospective employers.

3. Warranty Disclaimer ("As-Is")

NEXTBEACON IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEXTBEACON LLC DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, TITLE, AND NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS. YOUR USE OF THE SOFTWARE IS ENTIRELY AT YOUR OWN RISK.

4. System Environment and Data Responsibility

Installing NextBeacon deploys executable files and third-party dependencies (including, but not limited to, Node.js, Git, and Claude Code) onto your local machine, configures operating system scheduled tasks, and manages local file storage within its designated directory. Third-party software components remain subject to their respective vendor terms.

You assume sole responsibility for maintaining full system backups prior to installation. To the maximum extent permitted by applicable law, NextBeacon LLC shall not be held liable for any system instability, hardware failure, data corruption, loss of files, account suspension, or network disruption resulting from the installation, execution, updating, or removal of NextBeacon.

5. Artificial Intelligence Output Disclaimer

All outputs generated by NextBeacon - including match scores, evaluation rationales, tailored resumes, cover letters, and interview preparation materials - are produced by third-party artificial intelligence models and may contain inaccuracies, omissions, or misstatements. You are strictly required to audit and verify all generated content prior to third-party distribution. You assume sole liability and responsibility for the accuracy and appropriateness of any materials submitted to employers.

6. No Guarantee of Employment Outcomes

NextBeacon is strictly an administrative and job-search organization tool. NextBeacon LLC makes no representations, warranties, or guarantees regarding job search outcomes, including but not limited to:

• Employer response rates, interview invitations, job offers, compensation levels, or employment start dates.
• Reductions in job search duration or search complexity.
• The accuracy of AI-generated fit scores as indicators of actual employer evaluation.

Sample metrics, evaluation scores, or descriptions displayed on our website or within software documentation serve solely as illustrative examples and do not constitute representations or performance guarantees. Nothing produced by NextBeacon constitutes professional career counseling, legal, financial, or employment advice.

7. Fit Scores, Rankings, and Recommendations

Fit scores, score breakdowns, rankings, apply or skip recommendations, and any ordering or filtering of postings (together, "Scores") are estimates generated by NextBeacon's own methods, applied to the profile, résumé, target titles, and settings you provide and to the posting text NextBeacon was able to retrieve. Scores are an aid for organizing your review of postings. They are not professional advice, not a prediction of how any employer will evaluate you, and not a statement that any posting is or is not suitable for you.

Scores are specific to NextBeacon. They are not calibrated to, and must not be compared with or treated as equivalent to, scores, ratings, match percentages, or rankings produced by any other product, service, job board, or employer system.

NextBeacon may fail to retrieve a posting, may retrieve it incompletely (including its pay, location, or requirements), may score a suitable posting low or an unsuitable posting high, and may leave a posting out of a daily summary because of its Score or your settings. A change to your profile or settings, or to NextBeacon's methods in an update, may change a Score.

You are solely responsible for deciding which postings to review, pursue, or disregard. To the maximum extent permitted by applicable law, NextBeacon LLC is not liable for any opportunity that you did not see, did not review, did not pursue, or pursued unsuccessfully, including where a posting was not retrieved, was scored or ranked low, or was omitted from a summary.

8. Third-Party AI Service (Claude Account Requirements)

The full version of NextBeacon requires integration with an active third-party artificial intelligence platform provided by Anthropic, PBC ("Anthropic"). The Lite version does not use Anthropic's services and requires no Claude account; the obligations in this section apply to the Lite version only from the moment it is upgraded to the full version. Upgrading does not create a Claude account for you: the full features will not operate, even under a full NextBeacon licence, until an account meeting the requirements below is signed in on the computer running NextBeacon.

• Account Obligation: You must maintain an active, paid personal account supporting Claude Code, registered in your name, and authenticated on the machine running NextBeacon.
• Independent Costs: You are solely responsible for all subscription fees, API usage charges, and account balances incurred with Anthropic. NextBeacon LLC does not resell, broker, or subsidize Anthropic services, and changes to Anthropic's pricing, availability, or policies shall not entitle you to a refund from NextBeacon LLC.
• Service Interruption: Cessation, suspension, rate-limiting, or modification of your Claude account or Anthropic's service will cause NextBeacon's processing functions to halt. Such interruptions reflect expected system dependency behavior and do not constitute a software failure or grounds for a refund.
• Third-Party Compliance: You remain fully responsible for complying with Anthropic's Terms of Service and for maintaining independent internet, email, and job portal access.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NEXTBEACON LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, WORK STOPPAGE, COMPUTER FAILURE, OR THE COSTS OF PROCURING SUBSTITUTE GOODS OR SERVICES, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE USE OF NEXTBEACON.

IN ALL EVENTS, NEXTBEACON LLC'S AGGREGATE LIABILITY ARISING UNDER OR RELATED TO THIS AGREEMENT SHALL BE LIMITED TO THE GREATER OF THE TOTAL AMOUNT ACTUALLY PAID BY YOU TO NEXTBEACON LLC FOR THE SOFTWARE OR ONE HUNDRED UNITED STATES DOLLARS ($100.00 USD).

10. Indemnification

You agree to defend, indemnify, and hold harmless NextBeacon LLC, its members, officers, and agents from and against any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of NextBeacon; (b) any application materials, communications, or submissions sent to prospective employers; or (c) your violation of any term of this Agreement.

11. Grant of License and Intellectual Property

NextBeacon is licensed, not sold. Subject to your compliance with this Agreement, NextBeacon LLC grants you a limited, non-exclusive, non-transferable, revocable license to install and execute the software solely for your personal, non-commercial job search activities.

• Restrictions: You shall not copy, modify, distribute, sell, lease, sublicense, reverse engineer, or offer NextBeacon as a managed service or commercial offering.
• Proprietary Rights: NextBeacon LLC retains all right, title, and interest in and to the application, installer, user interface, proprietary workflows, branding, and original code.
• Open-Source Attribution: NextBeacon incorporates components from the open-source "career-ops" toolkit under the MIT License. The full license text and copyright notices for open-source components are preserved in the LICENSE file in the program directory.

12. Maintenance, Updates, and Telemetry

NextBeacon LLC reserves the right to modify, update, or discontinue support for the software at its sole discretion. Software updates are made available only to valid, unrevoked licenses.

During periodic update checks, NextBeacon transmits basic license verification metrics (including purchase keys, run counts, the program and Windows versions and, unless you switch it off, counts of your applications, interviews and offers) to NextBeacon LLC servers. Except as described in the next sentence, no personal profile data, résumé content or search query details are transmitted to or stored by NextBeacon LLC. The one exception is your daily report email, which is relayed through NextBeacon LLC servers for delivery only and is not retained.

13. Local Data Privacy

NextBeacon stores your resume, profile configurations, and job tracking records locally on your device. NextBeacon LLC does not collect, harbor, or monetize your personal data. Operational data required for AI scoring is transmitted directly from your PC to your designated AI service provider pursuant to their terms of service.

14. System and Hardware Requirements

Pre-purchase verification of system compatibility is your sole responsibility. You represent that your target environment satisfies the following minimum operating requirements:

• Operating System: Microsoft Windows 10 (version 2004 or later) or Windows 11 (64-bit systems only). macOS, Linux, and mobile operating systems are unsupported.
• Storage Space: Minimum 4.0 GB of available disk space on the primary system volume.
• System Memory: 8 GB RAM recommended (4 GB absolute minimum; systems operating between 4 GB and 8 GB may experience degraded execution speed).
• Network Connectivity: Unrestricted HTTP/HTTPS outbound access to claude.ai, api.anthropic.com, job host environments, and NextBeacon licensing endpoints.
• Power Management: Operating system power configurations must permit wake timers to execute automated scheduled tasks while in sleep mode.

15. License Scope (Single-Device Limitation)

Each purchase grants a license bound to one (1) single physical Windows PC via an issued unlock key. You may transfer the license key to one (1) replacement device during the license lifecycle. Licensing on additional hardware requires separate commercial purchases. Unauthorized redistribution of software binaries or license keys constitutes a material breach and grounds for immediate license revocation.

16. Refund Policy

If you are dissatisfied with NextBeacon, you may request a full refund within seven (7) calendar days of the initial purchase date. Issuance of a refund immediately revokes your license key, terminates app functionality, and halts future updates. Refund requests submitted after seven days are evaluated at the sole discretion of NextBeacon LLC.

17. Severability and Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Colorado, USA, without giving effect to any principles of conflicts of law. Any legal suit, action, or proceeding arising out of or related to this Agreement shall be instituted exclusively in the state or federal courts located in Colorado, and you irrevocably submit to their jurisdiction.

If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be severed, and the remaining provisions shall continue in full force and effect.

18. Entire Agreement

This Agreement constitutes the entire agreement between you and NextBeacon LLC regarding the subject matter hereof and supersedes all prior or contemporaneous understandings, agreements, or representations, whether oral or written.
